Committees
Committees on Central 1’s Board of Directors focus on specialized areas of governance, providing oversight, guidance, and recommendations to support the board in fulfilling its responsibilities and advancing the organization’s strategic objectives.
Central 1’s management is responsible for the preparation, presentation and integrity of our financial statements, and for maintaining appropriate accounting and financial reporting principles, policies, internal controls and procedures designed to ensure compliance with accounting standards and applicable laws and regulations.
The Audit & Finance Committee oversees the adequacy and effectiveness of the preparation and presentation of annual and quarterly financial statements. These financial statements are audited regularly by independent professional external auditors and are subject to review by the Audit & Finance Committee who seek to ensure the integrity and compliance. The Committee assists the Board with this oversight.

The Conduct Review and Corporate Governance Committee is responsible for ensuring performance by Central 1 of the duties required of it by Parts 4 and 5 of the Financial Institutions Act. The Committee also advises the Board in applying governance principles, monitors developments in corporate governance, and adopts best practices when reviewing Central 1.

The Human Resources Committee advises the Board on succession planning, compensation, and human resources principles and on related policies and practices. This committee provides its recommendation to the Board for compensation of the President and Chief Executive Officer (CEO) in light of his or her performance and Central 1’s performance. In addition, the Committee makes recommendations on the compensation of senior management and on matters concerning Central 1’s pension plans.

The Nominations & Elections Committee oversees the director nomination and election process. It will recruit and recommend candidates for election to the Board. Committee members ensure that the competencies identified in the Board-approved skills and experience matrix are present on the Board to meet the current needs of Central 1’s governance, leadership and strategic intent.

The Risk Review & Investment Loan Committee oversees the effective operation of all risk-taking operations and risk management functions of Central 1 and ensures appropriate risk governance processes are executed effectively and that investment, lending, and other business operations of Central 1 are undertaken in a prudent and risk-informed manner.

The Technology and Innovation Committee provides strategic risk and business oversight to Central 1’s digital banking and payment services, managing the systemic risks inherent to these lines of business and ensuring they meet Central 1’s stated risk appetite and that of its Class A members.
